Service Agreement

  1. Service Description Asparkl Agency we provides social media management services, including but not limited to:
  • Content creation and curation
  • Social media posting
  • Community management
  • Analytics and reporting
  • Strategic planning
  • Paid advertising management
  1. Client Responsibilities The Client agrees to:
  • Provide timely feedback when requested
  • Supply necessary brand assets
  • Maintain active payment methods
  • Provide accurate business information
  • Respond to critical communications within 48 hours

Payment Terms

1 Billing

  • Services are billed monthly in advance
  • Payment is due within 7 days of invoice date
  • Late payments may result in service suspension

2 Refunds

  • No refunds for partially used months
  • Service guarantee claims must be submitted within 5 business days
  • Refund requests are evaluated on a case-by-case basis

Service Delivery

1 Content Creation

  • All content remains Client’s property upon payment
  • Revisions limited to two rounds per content piece
  • Emergency content changes subject to 2-hour response time

2 Response Times

  • Regular requests: 24-hour response time
  • Urgent requests: 4-hour response time
  • Emergency situations: 2-hour response time

Cancellation & Termination

1 Cancellation by Client

  • 30-day written notice required
  • All outstanding payments must be settled
  • Content archive provided upon request

2 Termination by Provider We reserve the right to terminate services if:

  • Payment is overdue by 15+ days
  • Client violates these terms
  • Service abuse is detected

Intellectual Property

1 Content Ownership

  • Paid content becomes Client’s property
  • Templates and processes remain our property
  • Client assets remain Client’s property

2 Usage Rights

  • We may showcase work in our portfolio
  • Client grants usage rights for their brand assets
  • Both parties respect third-party copyrights

Confidentiality

 Information Protection

  • Both parties maintain strict confidentiality
  • NDAs available upon request
  • Data handled according to privacy policy

Limitations of Liability

 Service Limitations We are not liable for:

  • Platform algorithm changes
  • Third-party service disruptions
  • Force majeure events
  • Indirect business losses

Amendment

  • Terms may be updated with 30-day notice
  • Continued use implies acceptance
  • Major changes require client acknowledgment
